Terms Of Service

Please read these Terms of Service (“Terms”, “ToS”) carefully before using the VIVACADE website, games, mobile applications, and any related services (collectively, the “Services”) operated by VIVACADE.
Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Services.
By accessing or using the Services you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access or use the Services.

1. Eligibility

You must be at least 13 years old to use the Services (or the minimum age required in your country to consent to the processing of personal data without parental consent).
If you are between 13 and the age of majority in your jurisdiction, your parent or legal guardian must agree to these Terms on your behalf.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials.
You are fully responsible for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that we believe have been compromised, used for cheating, fraud, harassment, or any violation of these Terms.

3. User Conduct

You agree not to:

Use cheats, hacks, bots, macros, exploits, modded clients, or any third-party software that modifies the intended gameplay experience
Harass, threaten, stalk, abuse, impersonate, or intimidate other players or staff
Post, upload, transmit or share content that is obscene, pornographic, violent, hateful, discriminatory, defamatory, or illegal
Spam, flood, or excessively post repetitive messages
Attempt to reverse-engineer, decompile, disassemble, or extract source code from the Services
Use any automated system (including scripts, bots, scrapers) to access the Services except where explicitly permitted
Interfere with, disrupt, or attempt to gain unauthorized access to servers, networks, or accounts
Sell, trade, transfer, or offer to sell accounts, in-game items, currency, or access to the Services (unless we provide an official marketplace)
Use the Services for any commercial purpose without our written permission

4. User-Generated Content (UGC)

You retain ownership of any content you create and upload (screenshots, replays, avatars, custom content, chat messages, etc.).
By uploading or posting content, you grant VIVACADE a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, distribute, display, perform, and make derivative works of that content in connection with operating, promoting, and improving the Services.
You represent and warrant that your content does not infringe any third-party rights and that you have all necessary permissions.

We may remove, disable access to, or delete any content at our sole discretion without prior notice.
5. Virtual Items & Currency

All in-game currency, items, skins, characters, progress, and other virtual goods (“Virtual Items”) are licensed to you, not owned.
Virtual Items have no real-world monetary value and cannot be redeemed for real money or goods (except where we explicitly offer an official cash-out or resale mechanism).
We may modify, remove, limit, or delete Virtual Items at any time for any reason, including balancing, technical issues, or violation of these Terms.
Purchases of Virtual Items are final and non-refundable except where required by law.

6. Paid Services & Billing

Some features or Virtual Items may be offered for purchase.
Prices are displayed in the Services and may change at any time.
All payments are processed by third-party payment providers. We do not store full payment card information.
You are responsible for any taxes associated with your purchases.

7. Termination

We may suspend or terminate your access to the Services at any time, without notice or liability, for any reason, including if you breach these Terms.
Upon termination:

Your right to use the Services ceases immediately
Any licenses granted to you terminate
We may delete your account and associated data (subject to our Privacy Policy and applicable law)

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIVACADE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR USE OF OR INABILITY TO USE THE SERVICES
UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT OR DATA
ANY CONDUCT OR CONTENT OF THIRD PARTIES ON THE SERVICES
ANY CONTENT OBTAINED FROM THE SERVICES
TERMINATION OF YOUR ACCOUNT

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR $100, WHICHEVER IS GREATER).

10. Indemnification

You agree to indemnify, defend, and hold harmless VIVACADE and its affiliates, officers, directors, employees, and agents from any claim, demand, liability, damage, loss, cost, or expense (including reasonable attorneys’ fees) arising out of or relating to:

Your use of the Services
Your violation of these Terms
Your violation of any third-party right
Your content

11. Governing Law & Dispute Resolution
